1. Introduction
These Terms and Conditions govern the provision of fire and security services by RFC Fire and Security Systems Limited ("RFC", "we", "us", "our"), a company registered in Ireland, to commercial clients ("Client", "you"). By engaging RFC to carry out work at your premises, you agree to be bound by these Terms and Conditions.
RFC Fire and Security Systems Limited is registered in Ireland. Our principal place of business is Unit 6A, Swords Enterprise Park, Feltrim Road, Swords, Co. Dublin, K67 AC91.
2. Services
RFC provides fire and security services to commercial premises only, including but not limited to:
- Fire alarm installation, commissioning, servicing and monitoring
- Fire extinguisher supply, installation and servicing
- Emergency lighting installation, testing and servicing
- CCTV system supply, installation and monitoring
- Intruder alarm installation, servicing and monitoring
- Access control system installation and servicing
- PAT testing (portable appliance testing)
- Fire risk assessments
- Keyholding and alarm response
RFC does not provide services to residential properties or private dwellings.
3. Quotations and Pricing
All quotations provided by RFC are valid for 30 days from the date of issue unless otherwise stated. Quotations are based on information provided by the Client and a site survey where applicable. RFC reserves the right to revise a quotation if the scope of work differs materially from that described at the time of quoting.
All prices are exclusive of VAT unless otherwise stated. VAT will be charged at the rate applicable at the time of invoicing.
4. Payment Terms
Unless otherwise agreed in writing, the following payment terms apply:
- Invoices are due for payment within 30 days of the invoice date
- Payment may be made by bank transfer, cheque or such other method as agreed
- RFC reserves the right to charge interest on overdue invoices at the rate of 2% per month
- RFC reserves the right to suspend services where invoices remain unpaid beyond 60 days
5. Client Obligations
The Client agrees to:
- Provide RFC engineers with safe and unobstructed access to all areas of the premises required to carry out the agreed work
- Ensure that a responsible person is present at the premises during all RFC visits, or provide advance written authorisation for unaccompanied access
- Notify RFC immediately of any changes to the premises, systems or circumstances that may affect the services being provided
- Not interfere with, modify or attempt to repair any RFC-installed system without RFC's prior written consent
- Maintain any RFC-installed systems in accordance with RFC's instructions and all applicable Irish Standards
6. Warranties and Liability
RFC warrants that all work carried out will be performed with reasonable care and skill, in accordance with applicable Irish Standards (including IS 3218, IS 3217 and IS 291 where applicable) and PSA licence requirements.
RFC's liability to the Client in respect of any claim arising from the provision of services shall be limited to the value of the contract under which the claim arises. RFC shall not be liable for any indirect, consequential or economic loss.
RFC shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including acts of God, fire, flood, industrial action or failure of third-party services.
7. Service Contracts and Annual Agreements
Where RFC and the Client have entered into an annual service contract or maintenance agreement:
- The contract shall run for the period specified in the agreement
- Either party may terminate the contract by giving 30 days written notice prior to the renewal date
- RFC reserves the right to adjust annual contract prices at renewal, with a minimum of 30 days notice
- Early termination by the Client may result in a termination charge equivalent to the remaining contract value
8. Keyholding and Alarm Response
Where RFC provides keyholding and alarm response services:
- RFC will attend the premises in response to alarm activations as agreed
- RFC accepts no liability for loss or damage arising from alarm activations that occur while RFC is in attendance or travelling to the premises
- The Client is responsible for ensuring that RFC holds current keys and access codes for the premises at all times
- The Client must notify RFC immediately of any changes to access arrangements, alarm codes or keyholders
9. CCTV and Data Protection
Where RFC installs or monitors CCTV systems, the Client is the data controller for all footage captured by those systems. The Client is responsible for:
- Complying with all applicable data protection legislation including GDPR
- Displaying appropriate CCTV signage at the premises
- Establishing and maintaining an appropriate data retention policy for CCTV footage
- Responding to any subject access requests relating to CCTV footage
10. Intellectual Property
All designs, drawings, specifications and documentation produced by RFC in connection with any project remain the intellectual property of RFC unless otherwise agreed in writing.
11. Governing Law
These Terms and Conditions are governed by the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Irish courts.
